It is commonly used by companies, founders, directors, managers, and practice owners who need another person to deal with a bank, supplier, professional adviser, government body, or similar third party. Sometimes the authority is broad, but often it is narrower, such as signing a specific set of documents or handling one transaction. The main point is to record exactly what the authorised person can and cannot do, so the business is not relying on informal verbal instructions that may later be questioned.
Problems usually arise when the form is too vague, too broad, or missing practical details the receiving organisation expects. A bank or agency may reject it, ask for changes, or refuse to act on it if the authority period, signatory details, or scope of powers are not clear. There is also internal risk if the document lets someone act more widely than intended. Careful wording helps avoid confusion about whether the person can sign contracts, access records, submit forms, or only deal with one defined matter.
The form will usually identify the business, the authorised person, the date the authority starts, and the acts they are allowed to carry out. It may also include limits, such as a named transaction, a dollar threshold, a time period, or a list of excluded actions. Depending on the context, it can also address revocation, reliance by third parties, and how the authority should be signed. The exact wording depends on what the receiving organisation is asking for and how much authority you want to grant.
Sometimes, but many template forms are too generic for real-world use. They may not match the wording a third party expects, and they often do not deal well with restricted authority, multiple signatories, or company-specific approval steps. If the form is being used for a bank process, a property matter, a finance arrangement, or a sensitive operational task, it is often worth getting the wording checked. A customised form can better reflect the actual authority being granted instead of relying on broad language that creates uncertainty.
That is fairly common. Some organisations have their own preferred format or ask for extra details before they will accept an authority document. Given the strong similarities between Australian and New Zealand law, and the areas of law in which we practice (being small business and startup law), we do not view the fact that our lawyers have not qualified in New Zealand as having any substantive impact on the quality of our service.
