Trust helps, but channel arrangements often become unclear once sales start flowing, leads are shared, or branding is used in market. A written agreement can spell out whether the partner is acting as a reseller, referrer or promoter, how commissions are earned, when payments are due, who owns customer relationships, and what conduct is expected. Without that detail, disagreements can arise over unpaid commissions, misuse of brand assets, or whether a partner can keep representing your business after the relationship should have ended.
It will usually deal with the partner's role, territory or customer segment if relevant, commission or revenue share, invoicing and payment timing, use of trade marks and marketing materials, confidentiality, ownership of leads or customer data, liability allocation, and termination rights. Some arrangements also need rules around exclusivity, minimum performance, approval of promotions, or restrictions on making promises to customers. The exact drafting depends on how your channel model works in practice, not just the label used for the relationship.
The level of customisation usually turns on your sales model and how much authority the partner has. For example, a simple referral arrangement may need lighter drafting than a reseller setup where the partner markets under your brand, handles customer onboarding, or receives ongoing commissions. We also look at whether there are exclusivity terms, sales targets, service commitments, or shared customer information involved. Those practical details often matter just as much as the headline commercial deal when the agreement is being prepared.
Template wording often needs adjustment so it matches the actual transaction, workflow and risk allocation. However, many generic forms do not deal properly with channel-specific issues like commission triggers, approved marketing conduct, ownership of customer accounts, or what happens to pipeline deals after termination. They may also use language better suited to distributors, affiliates or agents, which can create confusion if your arrangement works differently. A tailored agreement is usually more useful where the partner will represent your brand, introduce customers over time, or have access to commercially sensitive information.
