Mutual Non-Disclosure Agreements

A Mutual Non-Disclosure Agreement (NDA) is an agreement between two parties who share confidential information and both agree to keep that information confidential. It is often used by startups that are concerned about sharing too much information with a supplier they have not yet engaged, but it can be used whenever both parties have valuable information they want to protect.

A Mutual Non-Disclosure Agreement usually states that both recipients of confidential information must keep it confidential. It also generally specifies that the recipients can only use the information for the purpose for which it was given, for example, to engage in commercial discussions with the discloser, and not for any other purpose.

It also states that the recipients must ensure that any of their employees or advisers keep the information confidential. A Mutual Non-Disclosure Agreement can also include IP clauses to make sure the recipient does not gain any IP interest in the discloser's information.
