Design projects often involve overlapping responsibilities, staged deliverables and reliance on drawings, specifications or site information supplied by others. If those points are only dealt with informally, it can become unclear who was responsible for a design element, whether a deadline was firm, or who owns the resulting work product. A dedicated subconsultant agreement records the commercial deal and the risk allocation in one place. That is especially important where architects, engineers and specialist consultants are contributing to the same project but not all contracting directly with the end client.
These agreements commonly deal with the exact services being provided, project stages, deliverables, timing, fees, invoicing, variations, confidentiality, use of project information, ownership or licensing of design materials, and termination rights. They may also address how instructions are given, what assumptions the subconsultant can rely on, and whether there are limits around site attendance, coordination or review obligations. In design work, the factual working arrangement can matter as much as the contract wording, so the document should match how the project will actually run.
The drafting usually depends on the discipline involved, the project structure and the way responsibility is divided between the lead consultant, the subconsultant and any other parties. We may need to know whether the subconsultant is producing standalone designs, reviewing another consultant's work, attending site meetings, or contributing to staged approvals and deliverables. Existing head contract obligations can also matter if the lead consultant is passing through timing, confidentiality or intellectual property commitments. Those details shape how the agreement should deal with scope, reliance, payment and liability positions.
Sometimes a base form can work as a starting point, but many design businesses still need project-specific changes. A short civil engineering input on one job may involve very different deliverables, timing assumptions and intellectual property use from a specialist façade consultant on another. If the project team, client requirements or scope allocation change, the contract often needs to change too. Using one generic form across every engagement can leave gaps around variations, design coordination, or responsibility for information supplied by others, which are common flashpoints in project work.

Given the strong similarities between Australian and New Zealand law, and the areas of law in which we practice (being small business and startup law), we do not view the fact that our lawyers have not qualified in New Zealand as having any substantive impact on the quality of our service.
