An Employee Share Option Plan (ESOP) is an incentive system whereby companies offer employees shares or rights to buy shares in the company. These rights are usually provided with certain attached conditions which must be met, such as minimum employment periods and/or minimum KPIs. An experienced lawyer can do a high level review of the ESOP to ensure that your important legal protections are covered.
Broadly, ESSs (Employee Share Schemes) directly issue employees shares, while ESOPs give employees the opportunity to acquire shares in their own company through a share option plan.
However, there are several nuanced differences between these two schemes. There are also tax and concession benefits you’ll need to be aware of, particularly in light of 2015 reforms.

Our fixed-fee packages for ESOP Reviews start at $700 + GST. This includes a review of your ESOP Agreement and phone consults with our expert lawyers.

None of our Sprintlaw lawyers are New Zealand qualified lawyers and they do not currently hold a New Zealand practising certificate. They provide legal services working remotely from Australia via our ‘legal consultancy’ model, through which (under section 6 and section 35 of the New Zealand Lawyers and Conveyancers Act 2006) our Australian legal team are permitted to provide legal services to New Zealand businesses provided they do not provide services in certain ‘reserved’ areas of law. Given the strong similarities between Australian and New Zealand law, and the areas of law in which we practice (being small business and startup law), we do not view the fact that our lawyers have not qualified in New Zealand as having any substantive impact on the quality of our service.
