That may include seed rounds, angel rounds, bridge financings, or larger equity raises where several documents need to align before completion. It is also useful where founders are juggling investor comments, board approvals and signing logistics at the same time. If your round has moved beyond headline terms and into execution, this is usually the stage where coordinated legal support becomes valuable.
Late-stage issues often include inconsistent definitions across documents, approval steps that were assumed but not formally recorded, investor rights that do not match the agreed commercial position, and cap table or share issue mechanics that need checking before signing. Another common problem is that one document is updated while another is left behind, creating avoidable tension at completion. Part of this service is identifying those pressure points early enough to deal with them before they turn into a signing delay or a post-closing clean-up exercise.
That depends on the structure of the raise, but the closing set often includes subscription or investment documents, shareholders-related documents, board or shareholder approvals, disclosure materials, and completion items that support the issue of shares or other securities. We review how those pieces interact rather than treating each document in isolation. If your round includes side letters, founder consents, or investor-specific rights, we can factor those into the closing review as part of the overall transaction picture, provided they sit within the agreed scope.
Yes, where negotiation forms part of getting the closing documents into final shape, we can assist with comments, mark-ups and legal points that arise during the closing stage. That said, the service is not an unlimited retainer for open-ended deal strategy or ongoing representation after completion. If the round becomes heavily contested, expands into multiple side arrangements, or requires extensive post-closing support, we may recommend a separate scope. The aim here is to help move the round through the legal closing phase with clear attention to the main issues.
The fixed-fee applies to If your matter needs more support, we will make that clear before any additional work begins. That usually includes reviewing and preparing the main closing documents, advising on legal issues that affect completion, and helping with amendments needed to get the round signed. It does not cover tax advice or ongoing representation once the transaction has completed. If your matter includes unusual structuring, extensive side negotiations, or a wider corporate reorganisation, we would discuss that separately before extra work is done.

They provide legal services working remotely from Australia via our 'legal consultancy' model, through which (under section 6 and section 35 of the New Zealand Lawyers and Conveyancers Act 2006) our Australian legal team are permitted to provide legal services to New Zealand businesses provided they do not provide services in certain 'reserved' areas of law. Given the strong similarities between Australian and New Zealand law, and the areas of law in which we practice (being small business and startup law), we do not view the fact that our lawyers have not qualified in New Zealand as having any substantive impact on the quality of our service.
