FAQs

Frequently asked questions

Unsure about how we work? We have gathered the most common questions for your convenience.

Manufacturer terms are often written to protect the manufacturer first. In a white label arrangement, that can leave major issues unclear, such as who owns product formulas, artwork, packaging designs, customer-facing branding and improvements made during production. A dedicated agreement can also deal with quality benchmarks, approval rights, defect handling, minimum orders and what happens if supply is interrupted. That matters because the factual working arrangement can matter as much as the contract wording, especially where your brand reputation sits with goods made by someone else.

It will usually cover the products being made, technical specifications, branding requirements, production standards, ordering processes, lead times, pricing, payment, delivery, acceptance or rejection of goods, defect and recall responsibilities, confidentiality, intellectual property ownership, exclusivity if relevant, liability allocation, termination rights and post-termination obligations. If the manufacturer handles any customer, staff or end-user information, the document may also need privacy-related wording. The right approach depends on the working arrangement, supporting documents and the factual context, not just the label on the deal.

Key details include whether the product is based on your own formula or the manufacturer's base product, who owns packaging and artwork, whether tooling or moulds are involved, how quality is tested, whether production is exclusive, and who is responsible for regulatory labelling or product claims. It also matters whether the manufacturer can subcontract, whether there are overseas suppliers in the chain, and how forecasts or purchase orders are managed. Those practical details shape the legal drafting far more than a generic template can.

A template may be useful for orientation, but it often misses the operational details that decide whether the wording works for your business. However, white label manufacturing often involves brand and IP issues that generic supply templates do not handle well. For example, a template may not clearly separate ownership of your trade marks and packaging from ownership of the manufacturer's background know-how, or explain what happens if a product fails specification and your brand is already on the market. Tailored drafting is usually more useful where product quality, exclusivity, confidentiality or custom formulations are commercially important.

After you instruct us, we will ask for the main commercial details of the arrangement and any existing terms, purchase orders or manufacturing documents you already use. We then prepare the agreement and talk you through the key clauses that need commercial input. Timing depends on how complex the manufacturing setup is and how quickly instructions are confirmed, but this service is aimed at getting the core document in place efficiently. The fixed-fee covers the drafting work and agreed amendments, not ongoing negotiation management or dispute representation.
