FAQs

Frequently asked questions

Unsure about how we work? We have gathered the most common questions for your convenience.

The difficulty is often not the idea of combining purpose and trading, but how the pieces interact in practice. Organisations can run into trouble where governance is unclear, decision-making powers overlap, funds or activities are not properly separated, or the documents do not match the real operating model. Questions also come up around board composition, member rights, control of any trading arm and how the mission is protected over time. This service helps map those issues and put the key legal documents in place, but the right structure depends heavily on your actual activities and plans.

It is commonly used by charities, incorporated societies, trusts, social enterprises and other mission-led organisations that want to add or reorganise trading activity without losing sight of their core purpose. Some clients are setting up a new structure from scratch, while others already operate informally across different activities and need a clearer legal framework. This service is generally most useful where there is a genuine governance or structural question to solve, rather than a need for a single standalone document such as a board charter or membership rule update.

Yes. In many matters, the first major step is comparing the available options and working out which one best fits your funding model, governance preferences and planned activities. For example, the answer may depend on whether trading will sit inside the main organisation, in a separate entity, or alongside an existing charitable or membership structure. Your lawyer can explain the practical pros and cons of the available models and how the documents would usually need to be set up for each. That gives your board or founders a clearer basis for deciding what to adopt.

Usually not. Hybrid arrangements often involve more than filling in a standard constitution or trust deed. The documents need to reflect how control is shared, how mission-related decisions are protected, whether profits can be applied across entities, and how the trading side interacts with the purpose-led side. A generic template may not deal properly with those relationships, especially if there are multiple boards, members or stakeholders involved. The service helps you work through those details so the legal structure better matches the way the organisation is intended to operate.

After setup, the organisation still needs to operate the structure properly in practice. That can include following the governance documents, keeping roles and approvals clear, managing reporting obligations and checking that day-to-day activities still align with the adopted model. Our fixed-fee covers the setup work described on this page, but not ongoing representation or continuing governance support unless separately arranged. If issues come up after implementation, such as document updates, board process questions or expansion into new activities, further legal work can be quoted as needed.
