FAQs
Frequently asked questions
Unsure about how we work? We have gathered the most common questions for your convenience.
That depends on the company action and the documents already governing your business. Common examples include issuing shares, approving a fundraising step, appointing or removing a director, entering a significant contract, or approving employee equity arrangements. In some startups, the constitution or shareholder arrangements add extra approval requirements or sequencing points. This service helps identify the board decisions that should be formally recorded for up to three key actions, so the paperwork matches the actual step your company is taking.
The problem is usually not obvious on the day the decision is made. It tends to show up later during due diligence, a fundraising round, a founder dispute or a review of company records. If a major decision was not properly authorised, questions can arise about whether the company followed its own governance rules and whether the directors approved the action in the right way. Written consents help create a clear record of what was approved, when it was approved and which directors were involved in that decision.
Alongside the board consent documents, the service includes legal review and feedback on the relevant company action so the resolutions reflect the context in which they will be used. That may involve checking the nature of the decision, whether there are related records to consider, and what execution steps are likely to follow. The service covers up to three key company actions or events. If your matter also needs shareholder approvals, transaction documents or wider deal support, those items may need separate work depending on the circumstances.
Yes. Early-stage companies often operate informally until an investor, adviser or major transaction highlights the need for cleaner records. In many cases, written resolutions can be used instead of a physical meeting, but that depends on your company documents and the facts of the decision. We can explain the practical process around signing, dating and storing the approvals so the records are usable later. If another authority or third party is involved, approval still depends on that external body and its own requirements.
That can happen where a startup is moving quickly and the first instruction only covers part of the picture. For example, a board consent may be only one step in a wider transaction that also needs shareholder resolutions, updated constitutional documents or supporting agreements. If further approvals are identified after the initial review, we can explain what else is likely to be required and provide a separate quote for that extra work if needed. If approval steps are relevant, we will explain what needs to be prepared and what sits outside the legal work. where external steps are involved.
