You may have operated a business under a sole trader or partnership structure thus far, and want to swap over to a company structure. Alternatively, you could be hoping to start off your business under a company structure.
One of the most common reasons of setting up a business under a company structure is due to a few clear commercial advantages. If your business is generating enough income, it would be more tax-efficient for you to operate as a company. As an individual you could be paying up to 45% in tax, whereas as a company you are taxed at a flat rate of 27.5%.
An attractive feature is that a company is a separate legal entity. This means that it is separate to your personal assets, and you have extra protection for your liability.
While the decision is up to you and what suits your business best, companies have greater flexibility for growth, bringing on employees, opportunities to benefit from government grants and more.
1. Prepare for your application, whether it is getting financial advice or deciding what your company name will be. Who will be the director(s)? Will you have shareholders?
2. Setting up the rules that govern your company.

5. Registering with the Companies Office.
We look at your budget, risk factors and growth plans to determine the best way to structure and set up your company. Changing your business structure later down the track is always an option, but it can be a costly and stressful experience. We provide you with the necessary legal support and knowledge to get it right from the outset.
This package includes everything you need to set up your company under a single company structure. You’ll receive an initial consultation with a Sprintlaw lawyer, registration with the Companies Office for 1 company and applying for NZBN registration for 1 business. You’ll also get an electronic company register pack, which includes a Certificate of Registration, Constitution, Share Certificates and all required resolutions and consents.
Our Company Set Up packages start from $1076 + GST. This includes the initial Companies Office fees to set up. However, please note that once you set up a company, you will need to pay Companies Office an annual review fee for each company.
Our legal team is made up of experienced lawyers, who are specialists in various areas of law and hold an Australian legal practising certificate. None of our Sprintlaw lawyers are New Zealand qualified lawyers and they do not currently hold a New Zealand practising certificate. They provide legal services working remotely from Australia via our ‘legal consultancy’ model, through which (under section 6 and section 35 of the New Zealand Lawyers and Conveyancers Act 2006) our Australian legal team are permitted to provide legal services to New Zealand businesses provided they do not provide services in certain ‘reserved’ areas of law. Given the strong similarities between Australian and New Zealand law, and the areas of law in which we practice (being small business and startup law), we do not view the fact that our lawyers have not qualified in New Zealand as having any substantive impact on the quality of our service.
