A Software Licence Agreement sets out terms and conditions for users to agree to before they can access and use your software. It should provide clarity around who owns what, the terms under which customers can access the software and how data will be dealt with.
It’s also a great way to protect your liability as a business in case anything goes wrong.
When individual users download and use your software for different purposes, there is a higher level of risk involved. So, you want to make sure they’re using your software right.
This is where an End User Licence Agreement (EULA) comes in. It sets out terms that users need to agree to before they can use your software. It will protect your business by covering matters like prohibiting copyright infringement, prohibiting reverse engineering, rules around installing the software and termination for misuse of the software.

They provide legal services working remotely from Australia via our ‘legal consultancy’ model, through which (under section 6 and section 35 of the New Zealand Lawyers and Conveyancers Act 2006) our Australian legal team are permitted to provide legal services to New Zealand businesses provided they do not provide services in certain ‘reserved’ areas of law. Given the strong similarities between Australian and New Zealand law, and the areas of law in which we practice (being small business and startup law), we do not view the fact that our lawyers have not qualified in New Zealand as having any substantive impact on the quality of our service.
